Jeffrey Ansel and Cynthia Hegarty will present “Debtor-Creditor Law: New Developments and Looking Beyond the Pandemic,” on December 2, 2021 through Minnesota CLE. Protecting Key Innovations in the Software as a Medical Device World
Software as a Medical Device (SaMD) requires novel approaches for both offensive and defensive intellectual property strategy.
Offensive strategies with which the audience may be familiar, tend to rely on patent, copyright, trademark, and trade secrets. Within the context of SaMD, it can be useful to employ overlapping parallel protection strategies, as these areas of the law have different origins and are used for different purposes.
Defensive strategies can be overlooked by even experienced innovators. But, what happens when a coder hired by a company copies another company’s copyright protected material? How should a company manage its use of open source software? What of the 800 pound gorilla with patents in the innovator’s space? And importantly, how should a SaMD company minimize its risk related to cybersecurity concerns, as is increasingly mandated by the FDA. Our panel will delve into these issues to caution innovators to avoid pitfalls that can make the difference between a successful exit, and bankruptcy.

Jon’s background in accounting and his extensive experience representing financial institutions in commercial real estate transactions, including tax credit financing transactions, well prepares him to convey a depth of information on the financial language of real estate lending.
Tami Diehm and Katie Johnson will present a breakout session on Day 2 of the conference. This session will provide an overview of options and opportunities for both buyers and sellers when one party breaches a purchase agreement. Topics will include types of breach, the Minnesota statutory cancellation process, specific performance and various ways for both buyers and sellers to think about, and calculate, damages. Finally, this session will explore creative options for finding a win-win solution when a purchase agreement looks like it’s about to fall apart.
