Winthrop & Weinstine, P.A. Continues Growth with Addition of Six Attorneys and Two Paralegals

MINNEAPOLIS — August 20, 2024. Winthrop & Weinstine, P.A. is pleased to announce its continued growth, primarily in its Corporate & Transactions and Tax Credit Financing & Syndication practices, as we welcome six attorneys and two paralegals to the firm.

John J. Donovan III, Vincent M. Pecora, and Stephen A. Tight have joined the firm as Counsel in our Corporate & Transactions practice; Jordan R. Hohwieler, Associate, and Stephanie I. Murphy, Counsel, have both joined our Tax Credit Financing & Syndication practice; and Michael A. Stephani has joined the firm as an Associate in our Banking & Finance – Creditors’ Remedies, Bankruptcy & Work Out practice. Additionally, Neil D. Kristiansson has joined our Tax Credit Financing & Syndication practice as a Paralegal, and Eve L. Stark has joined the firm as a Paralegal in our Intellectual Property practice.

John J. Donovan III, Counsel in the Corporate & Transactions practice, has more than 30 years of experience guiding organizations, both public and private, on complex tax matters. John has extensive technical knowledge of tax due diligence and integration, domestic and U.S. international tax planning, foreign operations taxation, tax controversy resolution, transfer pricing, ASC 740 requirements, and U.S. tax reforms. John also advises clients on all tax needs in support of M&A and joint venture activity, including structuring, risk assessment, agreement review, drafting and negotiation, integration, and post-closing adjustments. He earned a LL.M. in Taxation from Georgetown University Law School, J.D. from William Mitchell College of Law, B.A.s in Economics and Political Science from the University of Minnesota – Duluth, and a Director Development Certificate from the Wharton School of Business, University of Pennsylvania.

Jordan R. Hohwieler, Associate in the Tax Credit Financing & Syndication practice, represents investors, syndicators, and developers, primarily in the affordable housing and renewable energy industries. With past experience on hundreds of transactions, Jordan counsels his clients on all matters relating to real estate debt and equity investments and tax credit financing, including low income housing tax credits (4% and 9%), renewable energy tax credits, and historic tax credits. Jordan received his J.D., cum laude, from the University of Nebraska College of Law and his B.S., cum laude, from the University of Nebraska-Lincoln. He is also a Nebraska Certified State Mediator.

Stephanie I. Murphy, Counsel in the Tax Credit Financing & Syndication practice, draws upon her past experience as an audit associate at a Big 4 accounting firm in her current representation of owners, developers and investors in connection with all aspects of real estate. She has experience with acquisitions, sales, developments, financings and real estate matters in relation to larger corporate transactions. Stephanie received her J.D. from Loyola University Chicago School of Law and her B.S., cum laude, from Miami University, Farmer School of Business.

Vincent M. Pecora, Counsel in the Corporate & Transactions practice, has provided practical advice and guidance to his clients on securities law, mergers and acquisitions, corporate governance, and corporate finance matters for nearly two decades. He brings to the firm 15 years of experience as General Counsel and in similar roles at global publicly-traded companies of various sizes, industries, and growth stages, including a Fortune 500 semiconductor company and an early-stage EV charging manufacturer. Vince has helped his clients navigate through a variety of business challenges, including SEC, Nasdaq, and NYSE compliance, private placement offerings, executive compensation (including proxy advisory firm compliance and relations), and public and private debt and equity financing transactions. Vince earned his J.D. from the University of Notre Dame Law School and his B.A., cum laude, with distinction and honors, from the University of Michigan.

Michael A. Stephani, Associate in the Banking & Finance – Creditors’ Remedies, Bankruptcy & Work Out practice, represents a wide array of creditors including businesses, financial institutions, and commercial landlords in all types of bankruptcy and work-out matters, including chapter 7, 13, and 11 bankruptcy proceedings, commercial collections and replevin litigation, rent litigation and contested evictions. Michael earned his J.D. from the University of St. Thomas School of Law and his B.A. from the University of St. Thomas.

Stephen A. Tight, Counsel in the Corporate & Transactions practice group, advises public and private companies, private equity firms and funds, venture capital firms and funds, and other financial and strategic buyers, sellers and investors on complex domestic and international M&A transactions and investments, as well as day-to-day legal issues. Drawing upon his nearly 30 years of experience as a law firm partner and corporate general counsel, Steve often serves as outside general counsel to his clients and has particular expertise advising life sciences and health care organizations, providing practical and insightful legal advice on day-to-day complexities within these highly regulated organizations and industries. Steve received his J.D., cum laude, from the University of Minnesota Law School and his B.A. from St. Olaf College.

Neil D. Kristiansson, Paralegal in the Tax Credit Financing & Syndication practice, draws upon his extensive experience and prior career as a consumer loan underwriter to inform his current work on complex title and survey reviews and issue resolution. Neil received his B.A. from St. Olaf College and is currently pursuing his paralegal certification from Inver Hills Community College.

Eve L. Stark, Paralegal in the Intellectual Property practice, has more than 15 years of experience in intellectual property and cybersecurity for clients across a broad spectrum of industries. Eve received her Associate of Science from Charter Oak State College and is currently pursuing her Bachelor of Engineering, Cybersecurity from Charter Oak State College.
