February 6, 2019 – Winthrop & Weinstine, P.A., is pleased to formally announce that Jacob Bean, Heidi Nau and Timothy Sitzmann have been promoted to shareholders, and Christopher Hussey, Joseph Phelps and Matthew Robinson have been promoted to managing associates.

Jacob Bean is a member of Winthrop & Weinstine’s tax credit and real estate groups, representing developers and investors on complex development deals throughout the country. Jacob’s practice focuses on finding creative and effective solutions to the various tax and regulatory problems presented by tax credit and debt financing programs used in affordable housing, historic rehabilitation, and energy production projects. His past experience in the affordable housing industry helps him navigate and advise clients through the tax and regulatory landscape applicable to every development.

Heidi Nau represents mortgage lending clients in commercial real estate transactions throughout the United States. She works with clients who originate and service loans through the Fannie Mae multifamily housing programs to ensure compliance with agency guidelines before and after closing. Heidi also counsels borrowers in HUD refinance and interest rate reduction transactions. Her past experience includes general real estate transactions, foreclosures, leasing, litigation, representation of homeowner’s associations, and creditor’s remedies.

Timothy Sitzmann is an intellectual property attorney who enjoys helping clients develop and protect their intellectual property, and counseling them on how best to use that intellectual property to propel their businesses. He works with clients on all things trademark, brand, and copyright related, including obtaining trademarks, negotiating licensing, software or SAAS agreements, due diligence as part of mergers or acquisitions, and other corporate or contractual work as it relates to intellectual property, and, when necessary, litigation to protect the brand. Tim’s clients have included outdoor sporting and hunting companies, medical device manufacturers, universities, banks, restaurants, breweries, and even a board game publisher.

Christopher Hussey draws on his experience as a business consultant in the finance arena to understand his client’s needs, and to guide them towards their business goals. He an attorney in Winthrop & Weinstine’s corporate & transactions group, primarily advising private companies and private equity funds with middle-market merger and acquisition transactions. Chris also consistently leads the drafting and negotiation of a wide range of commercial contracts for a number of privately held businesses, assists companies with raising capital and advises clients regarding general business matters.

Joseph Phelps counsels developers, lenders and investors in a range of tax credit and real estate matters, including developments involving Low Income Housing Tax Credits, federal and state Historic Tax Credits, New Markets Tax Credits, solar and other Energy Tax Credits, and various state industrial and rehabilitation tax credits around the country. Joe’s work has included general development work; negotiating and drafting development and financing documents with state governmental agencies and local municipalities; negotiating and drafting loan documents with construction lenders, permanent lenders, and tax credit bridge lenders; and negotiating and drafting tax credit syndication and investment documents. He also has extensive experience closing state tax credit investment and general tax credit bridge lending deals.

Matthew Robinson is an experienced litigator, representing clients in a wide variety of commercial litigation contexts, including actions involving breach of contract, civil fraud, business torts, breach of fiduciary duty, misappropriation of trade secrets, and class actions. Matthew’s practice incorporates a particular emphasis on securities litigation and employment litigation, and also includes representations in the areas of commercial contracts and warranties, banking and finance, shareholder and limited partner disputes, energy, healthcare, and regulatory matters. His clients include both private and public companies and range in size from small, family-owned businesses to large, Fortune 500 companies.
