MINNEAPOLIS — January 6, 2025. Winthrop & Weinstine, P.A., is pleased to formally announce the elevation of seven new Shareholders: Lisa Ellingson, Jason Harby, Jordan Hogness, Devon Holstad, Chelsea Mularoni, Lindsey O’Malley, and Will Schumacher

Lisa Ellingson is co-chair of the firm’s Data Privacy, Cybersecurity, and Artificial Intelligence practice group.  She advises clients on a variety of data security and privacy matters, including compliance, investigations, incidents, international privacy issues, and disputes. Lisa is a Certified Information Privacy Professional/United States (CIPP/US) and a Certified Information Privacy Manager (CIPM).

Jason Harby represents for-profit, non-profit, and housing authority developers of affordable housing, with experience representing clients in connection with developments in Wyoming, Oregon, Washington, Idaho, and all over Montana. He has deep experience in a wide range of affordable housing financing structures, including traditional LIHTC financing, both 4% and 9%, HUD programs, state and local programs, as well as transactions involving naturally occurring affordable housing.

Jordan Hogness represents and advises developers, tax credit syndicators, direct tax credit investors, conventional construction lenders, specialized tax credit lenders, units of government, and others on a variety of matters primarily involving the financing of commercial and multifamily residential real estate projects. He specializes in real estate and other transactions utilizing federal and state tax credits, and has been involved in closing more than 180 real estate projects in 30 states. Prior to joining Winthrop & Weinstine, Jordan worked in international tax with PwC, designing tax-efficient cross-border structures and analyzing and advising on the tax impact of acquisitions and other transactions.

Devon Holstad represents individuals and business of all sizes in multi-million-dollar business disputes, including numerous media and entertainment matters as well as bet-the-company shareholder and other corporate disputes. His litigation experience also includes copyright, trademark, and product liability. Devon has represented clients in federal and state courts across the country, including at trial and on appeal. He has also represented multiple international corporations during federal investigations by the DOJ and SEC. Devon also serves on the Board of Directors of the American Mock Trial Association and the Board of Trustees of the Moran Olsson Michigan Innocence Clinic Trust.

Chelsea Mularoni represents clients in commercial lending and other banking and finance related matters, including structuring and documenting complex commercial transactions involving sponsor finance, real estate construction, bonds and tax credits, on behalf of a range of types of lenders. Prior to joining Winthrop & Weinstine, Chelsea spent a number of years in California working in-house for a FinTech startup on the cutting edge of financing renewable energy projects across the country.

Lindsey O’Malley advises public and private companies, business owners, and innovators on corporate tax incentive projects across the country, ranging from complex corporate structuring to startups. These projects involve all aspects of credits and incentives and IRS tax controversy. Lindsey specializes in Research Tax Credits, 174 Amortization, Work Opportunity Tax Credits, Employee Retention Credits, and other federal and state programs designed to attract and retain businesses and job growth. Lindsey is also a Certified Public Accountant and has previously worked at Deloitte, KPMG and CLA managing R&D tax credit and other tax incentive projects.

Will Schumacher represents and advises secured and unsecured creditors, with a focus in the financial services industry, and borrowers and debtors across industries. He focuses his practice on creditors’ rights, business restructuring and reorganization, including complex chapter 11 proceedings, bankruptcy litigation, liquidation, section 363 sales, out-of-court restructuring related matters, receiverships, and assignments for the benefit of creditors, and has represented clients in a variety of industries, including financial services, commercial real estate, retail, media, oil and gas, and healthcare.
