Solutions begin with an appreciation of perspective and purpose. With nearly 20 years of experience in the corporate and securities space, as both outside and inside counsel, I’ve been fortunate to have had the opportunity to manage and solve problems for my clients from different vantage points. During my time as in-house counsel for public companies, most recently as General Counsel, Chief Legal Officer, and Secretary of a publicly-traded foreign private issuer, I understood the importance of unwinding complexity to find fast and simple solutions that advance the business strategy. Advising businesses of various sizes, from startup energy companies to Fortune 500 semiconductor manufacturers, has trained me to keep things simple and not talk over anyone’s head.

Outside of work, I enjoy taking time for self-reflection, improvement, exercise, and learning to speak Spanish and Italian. I’m particularly interested in learning all I can about startup businesses and you’ll frequently find me listening to audiobooks on the subject. I enjoy creative and active ways to stay in shape, including Krav Maga classes, hiking, and going for a ride on my Peloton bike.
I represent clients in a wide variety of industries and in all areas of corporate finance and securities law. I have extensive experience in SEC, NYSE, and Nasdaq compliance and reporting for both U.S. and foreign issuers, including proxy statements, Section 16 filings, Dodd-Frank Act compliance, and reports on Forms 10-K, 10-Q, 8-K, 20-F, and 6-K. I also have broad experience in corporate governance, executive compensation matters (including proxy advisory firm compliance and relations), public and private debt and equity financings, and private placement offerings. Through years of experience as in-house counsel for a number of organizations, I understand how short- and long-term business goals drive decision-making, and I tailor solutions in a way that furthers those goals.
I have been practicing in the areas of mergers and acquisitions and corporate law for nearly two decades and am familiar with the internal workings of organizations in a variety of industry sectors. My practice focuses primarily on helping clients buy and sell businesses of varying sizes – most notably leading the charge on all acquisitions and dispositions for a publicly-traded, S&P 500 organization. I also advise my clients on drafting and negotiating service, vendor, and supplier agreements, corporate entity management (including entity and transaction structuring), and internal business policies and procedures.
