My Approach
Understanding (and finding) alternative sources of financing in this post-pandemic market is critical. My clients count on me to provide counsel and advice through the entire lifecycle of a project – from their initial questions on financing sources and third-party participants, to negotiation, closing and ultimately development of a physical asset. I’m able to draw on my experience on both the developer- and investor-sides of the table to help facilitate efficient and smooth transactions for my clients.
Outside of work, I enjoy golfing and am an avid Nebraska and Minnesota sports fan (go Cornhuskers!). I also love to cook and bake and have become my family’s “go-to” pie-supplier for our holiday gatherings. I think my best is a cherry almond with homemade crust.

My Experience
I represent investors, syndicators, and developers, primarily in the affordable housing and renewable energy industries, in all matters relating to real estate, and tax credit equity financing, including low-income housing tax credits (4% and 9%), renewable energy tax credits, and historic tax credits. Having been involved in more than 200 deals in over 30 states, I am familiar with a multitude of alternative financing options and am adept at providing creative solutions to help my clients structure, negotiate and close their transactions.
Representative Matters
- Represented investors/syndicators in over 150 low income housing tax credit (LIHTC) transactions across more than 30 states, managing all aspects of the transaction process including due diligence, equity and debt financing, regulatory compliance, and closing documentation.
- Represented multiple institutional investors in their investment in upper-tier LIHTC funds including the drafting and review of fund subscription agreements, private placement memoranda, fund partnership agreements, and side letters.
- Represented investor in its acquisition of a portfolio comprising ten lower-tier projects, totaling $120 million, by overseeing the due diligence process, negotiating terms, and ensuring seamless transaction execution.
- Represented a LIHTC syndicator in closing a $250 million fund, overseeing legal aspects including fund formation, investor agreements, compliance documentation, and regulatory filings.
- Represented investors structure transactions involving various rental subsidies, including Housing Assistance Payment (HAP) contracts and Rental Assistance Payment (RAP) agreements.
- Represented LIHTC developers in over 75 projects across more than 15 states, managing legal aspects such as equity and debt financing, regulatory compliance, tax opinions, and real estate due diligence.
- Represented developers in obtaining and negotiating various HUD financing, including 223(f) loans and 221(d) loans for resyndication projects to generate acquisition tax credits.
- Represented LIHTC developers in negotiating and closing transactions involving a 300-unit LIHTC project in California, utilizing both 4% and 9% credits.
- Represented developers in completing and submitting tax credit application in various states, navigating the application process, reviewing the QAP, compiling necessary documentation, and advocating on behalf of the client to successfully secure allocation of tax credits.
- Represented developers in securing and leveraging American Rescue Plan Act (ARPA) funding for existing and upcoming development projects.
- Represented developer in closing a 250-unit project in Georgia, which included negotiating and securing RAD subsidies and local tax abatement agreements, overseeing all legal aspects of the transaction.
