Representative Matters

• Represented various quick service restaurant franchisees in several acquisition and sale transactions.
• Represented the owner of 21 gas stations and convenience stores in a sales transaction to one of the largest convenience store chains in the country.
• Facilitated the purchase of a manufacturing business by a current employee.
• Represented a franchisee in the sale of its autobody and collision repair facilities to the franchisor.
• Represented a technology corporation in the sale of a division of its assets to a competitor.
• Represented a manufacturer in the strategic acquisition of senior debt, followed by the successful foreclosure of collateral.
• Represented a nonprofit company in the acquisition of senior housing and care services facilities from a major healthcare provider.

My Experience

I represent clients in general corporate law, and have experience providing general counsel services to closely held businesses, including drafting and negotiating a wide range of commercial contracts, as well as M&A transactions involving purchase agreements, employment agreements, due diligence matters and corporate approvals. I also advise clients on business succession planning, asset protection, and commercial real estate transactions.
