Each transaction presents its own set of challenges. Yet with a well-crafted strategy, even the most intricate tax issues can be addressed effectively. Whether navigating complex international structures or advising on high-stakes ventures, the importance of thoughtful tax planning cannot be overstated. A well-structured approach often determines whether a transaction proceeds smoothly or encounters unexpected hurdles.
With experience gained through both legal advocacy and a “Big Four” accounting firm, I offer a blend of technical precision and commercial insight in every piece of advice. Tax is never merely about numbers—it’s an integral part of broader business strategy. I bring a thoughtful approach to developing solutions for clients, ensuring that tax considerations are integrated seamlessly into their overreaching objectives. From large-scale deals to advising smaller, closely held businesses during pivotal transitions, the focus remains on aligning tax considerations with the company’s larger goals. Anticipating challenges, uncovering opportunities, and crafting solutions that propel deals forward are central to every engagement.
Collaboration is key. Strong, trusting relationships lead to the best outcomes, whether working with large multinationals or helping emerging companies navigate their growth. Providing clear, actionable guidance ensures decision-makers can move forward confidently, knowing their tax strategy is designed for both immediate needs and long-term success.
Beyond the world of tax and transactions, creativity takes a different form. Painting provides a relaxing contrast to the analytical nature of legal work, offering a space to explore color, form, and expression. Lately, portraits have been the focus—challenging yet deeply personal, each one requiring patience and precision. The process, much like structuring a transaction, is both meditative and intentional, where every detail plays a role in shaping the final outcome.
Legal discussions were a part of everyday life growing up. As general counsel for a large company in Yugoslavia, my father’s work offered an early glimpse into the legal world and its connection to business. That exposure took on new meaning when my family left for Germany in the 1990s. Serving as a translator for other refugees was more than just bridging language gaps—it was about helping people navigate unfamiliar systems. Those experiences reinforced a deep-seated desire to advocate for others. Law was always in the background, but the journey from Germany to eventually settling in the U.S. made it clear that this was the right path. Even now, conversations with my father—who has long since stepped away from practice—continue to shape the way I think about the law. Different perspectives and a willingness to challenge assumptions often lead to the strongest solutions.
I advise public and private companies, including multinational corporations, portfolio companies of private equity funds, and closely held businesses, on the tax implications of a wide range of deal transactions. I guide clients through every stage of the transaction process, from structuring and due diligence to closing and post-closing integration. I have actively participated in cross-border mergers and acquisitions, capital market transactions, joint ventures, and securities offerings. Throughout these deals, I work alongside clients to identify risks, uncover opportunities, and ensure that tax considerations are seamlessly integrated into the transaction strategy.
In addition to handling deal execution, I counsel clients on critical tax matters such as debt restructuring, fund formation, M&A, divestitures, spin-offs, and anti-churning rules. I collaborate with clients to navigate the complexities of projects, aligning their tax strategies with broader business objectives and addressing challenges that arise during the process.
