My Approach
When I work with clients, I get to know them, their businesses, and their employees – the things they deal with on an everyday basis. I take a lot of care to protect that relationship and the trust that my clients put in me to advise them. I represent clients in a range of corporate and commercial financing matters, including mergers and acquisitions, employment and labor issues, and serve as outside general counsel to a number of clients.
I know my clients are busy people, with limited amount of time to spend on legal issues, so I do everything I can to be as responsive as possible, and of course, on time, on budget, and with high quality work.

My Experience
For almost 30 years, I have represented lenders and borrowers in connection with structuring, negotiating, drafting and closing commercial financings for real estate projects, operating capital, asset based lending, corporate restructurings, tax credit transactions and workouts.
Practicing Mergers & Acquisitions
My Experience
My mergers and acquisitions experience includes representing clients in straight-forward and complex transactions for small to middle market companies in the printing, services, manufacturing, distribution, consulting, and government contracting industries. I have structured, negotiated, and drafted purchase agreements, leases, employment and independent contractor agreements, and thousands of other contracts and agreements.
Representative Matters
- Represented a development stage biotechnology company, in a $50 million investment by several venture capital investors.
- Represented another development stage biotechnology company, in a simultaneous reverse merger with a public company and $70 million investment by several venture capital groups.
- Represented manufacturing client in the acquisition of twenty companies around the United States, including the purchase of a New York company and its Canadian subsidiary out of bankruptcy in the Southern District of New York.
- Represented majority shareholder of distribution company in acquisition of stock from minority shareholder.
- Structured and negotiated multi-state acquisition of landfill gas facilities.
- Represented an IT consulting firm in the acquisition of a Nebraska company and a local competitor.
- Structured and negotiated the sale of a local printing business to an out-of-state buyer.
- Represented the buyer in acquiring a new North Carolina manufacturing facility.
- In a contentious family dispute, represented minority shareholder of services business in acquisition of stock from majority shareholder with concurrent debt restructuring.
- Represented buyers and sellers of commercial and industrial real estate properties.
- Represented services business in connection with the sale of its business operations in the United Kingdom.
- Structured, negotiated, and drafted documents for the sale of a minority interest in a services business and subsequent buy-back of minority interest.
- Represent doctors acquiring and selling dental and veterinary medicine practices.
Practicing Employment Counseling
My Experience
I represent employers with labor and employment issues. I have negotiated numerous labor contracts as lead negotiator and represented management in responding to employee and union grievances, unfair labor practice charges, and discrimination charges filed with various federal, state, and local governmental agencies, covering a multitude of issues. I also provide employment counseling advice to employers spanning a variety of issues including employee discipline, termination, investigation, confidentiality and employment agreements and employee handbooks and policies.

- Advises employers on compliance with employment laws.
- Advises employers with investigations, employee discipline and terminations.
- Negotiated change in control agreements and severance agreements for employers with a large work force.
- Lead negotiator for management in labor negotiations.
- Represent employers against unfair labor practice charges and employment discrimination charges filed with federal, state, and local governmental agencies.
- Represented employers in negotiating withdrawals from underfunded defined-benefits plans.
- Represented an employer in an interest arbitration proceeding with near total victory for the employer.
- Negotiated dozens of labor contracts for a single employer with a nation-wide employee base.
- Represented employers in grievances brought by employees and unions.
- Guided employers through contentious labor strikes while achieving the employers’ desired results.
