For me, the psychology of law is endlessly fascinating. In law school, I was fortunate to participate in a unique curriculum that placed an emphasis on the disruptions to (and transformation of) our current legal system, with a focus on public policy, changing regulations, and understanding the law through the lens of other disciplines – in my case, philosophy and psychology. Through this modernized approach, I was encouraged to keep a keen focus on the bigger picture and to identify potential issues before they arise. I apply these lessons to every matter I touch, whether mergers and acquisitions, venture capital investments, securities offerings, or general corporate advisory matters, by thoughtfully reverse engineering my clients’ goals to align with their strategic objectives and leveraging my understanding of the law and the policies behind it to help my clients achieve success.
Prior to becoming an attorney, I spent time in the music industry. While not exactly “traditional,” this experience taught me the value of building relationships and in being your authentic self. Authenticity isn’t generally a term people associate with lawyers and the law, but it should be – the legal profession is all about service and supporting the endeavors of others. I’m here to serve my clients and to get the job done in the best possible way I know how.
Outside the office, I spend as much time as possible with my family (primarily my two small kids). We enjoy taking walks and enjoying our local Minneapolis neighborhood. I also still love music – making it and listening to it – and computer coding.
I represent buy- and sell-side clients in mergers and acquisitions, primarily ranging from $10 to $100 million and have significant experience leading due diligence reviews and drafting and negotiating purchase agreements, disclosure schedules and ancillary documents. In addition, I represent operating companies of all sizes on general corporate matters, including entity formations and structuring, advising on corporate governance matters, securities offerings and ongoing reporting, and drafting and negotiating a variety of commercial contracts.
I represent investors and emerging companies across a wide range of industries in venture capital investments, primarily ranging from $5 to $50 million. I have experience drafting and negotiating investment documents, forming investment vehicle entities, and managing company and investor communications.
