My Approach
One of the most satisfying parts of my job as an M&A and corporate attorney is taking the time to develop close relationships with entrepreneurs, diving deep into their company’s workings, and understanding their business—past, present, and future. Each business has its own unique goals and challenges, and this relationship and knowledge I gain allows me to provide more comprehensive legal counsel and strategic advice and support, and helps me achieve the best possible outcome for my clients as their outside counsel and advisor.
In a transaction, I aim to develop practical solutions and work collaboratively with opposing counsel and parties to resolve problems while limiting issues and risks. I pride myself on being creative and flexible while working with all parties to find common ground and give my client the best deal possible. I draw on my strong work ethic and clear communication so that my clients can rely on me, while they focus on running their business.
Outside of work, I love spending time with my family and friends, playing hockey, woodworking, and reading history books.

My Experience
I advise private companies and private equity funds of various sizes and industries in a wide range of M&A matters, largely in the middle market range, helping lead and drive the negotiation and transaction process in buy- and sell-side deals. I am involved in all aspects of the transactions, including but not limited to drafting and negotiating the purchase agreement, facilitating due diligence processes, conducting internal reorganizations when needed, and supporting post-closing transitions and integration, all while working closely with the client during the process.

- Represented an international property management company in its ~ $450m SPAC merger and IPO.
- Represented a Midwest construction company in its ~$70m sale/redemption to an ESOP.
- Represented a Minnesota based telecommunications company in their ~66m sale, restructuring, and carry over transaction.
- Represented a Minnesota-based steel production company in its ~$50m sale to a private equity firm.
- Represented an international aviation technology company in its merger with a leading technology innovator in cloud and Industrial AI software.
- Represented a wireless telecommunications technology company in its ~$40m sale to one of the largest distributors in North America.
- Represented an electrical company in its sale to a private equity fund for ~$17m plus rollover equity.
- Represented one of the largest Midwest medical supply companies in its sale to a national supplier.
- Represented a healthcare company in the sales of multiple of its subsidiaries, ranging from $5-30 million.
- Represented a local trucking and snow removal company in the purchase of an out-of-state competitor.
- Represented a private equity-owned restaurant franchise chain in its sale to another private equity fund.
- Represented a mechanical construction and maintenance company in the sale of their assets.

- Represented a commercial and retail service, repair, and maintenance cleaning company in its purchase of a local competitor.

I represent clients of various sizes and experience in a wide range of corporate governance, general contracting, and general corporate matters, on anything from formation to sale, and anything required in between. I have experience working in-house, in government, and in private practice, and use all of those experiences to best inform my guidance for clients, so that they can get the most out of their business.
