To me, there’s more to being a lawyer than just being the person who churns out a contract. I enjoy working closely with clients to find creative ways to help complete a transaction and their businesses succeed. My clients’ businesses are their livelihood, and seeing how much they care for their business energizes me to help them reach their goals.
A large portion of my practice focuses on assisting startup and growth stage companies navigate the complexities that come with taking that next step in their business life cycle. For a client, securing sophisticated financing can be an exciting opportunity, but it can also be daunting to face all of the obstacles that come with it. My goal is to provide these entrepreneurs and businesses with the support necessary to allow them to demonstrate their true value to their respective markets and continue towards their ultimate end goal, whether that may be an acquisition, sale or initial public offering. It’s truly satisfying to me to work alongside these clients and see all their time and effort pay off in real time.
My teenage self wouldn’t believe I’d ever say it, but a large part of the way I practice law stems from growing up on a farm, and being able to continuously adapt as challenges arise and handle the amount of sheer hard work and persistence that is required to finish the job. I learned that there’s never not a solution to a problem– you just haven’t found it yet. Flexibility, adaptation, and dedication are essential components of success.
I work with clients at various points in the business life cycle to help them raise debt and equity capital through public and private securities offerings, with a focus on venture capital and early growth stage equity financings. As part of a transaction, I also regularly help clients develop a strategy for a variety of other securities and corporate finance matters, including entity formation and organization, corporate governance, debt and equity financing, preparation of periodic and annual reports, including proxy statements, offering memoranda and prospectuses, as well as general guidance relating to federal and state securities law compliance.
Additionally, I provide counsel to clients on the opposite side of such transactions, assisting venture capital firms, strategic investors and family offices when making investments and venture capital financings in start-ups and other emerging companies.
I advise regional and national real estate developers, asset managers, sponsors and other players in the real estate industry in a variety of real estate transactions across a range of assets classes, including multifamily, commercial, light industrial, senior living and data centers. I provide assistance at all stages of a transaction, including corporate and joint venture structuring and fund formation at the front-end of a transaction, and the acquisition of bridge, mezzanine and other debt financing as well as equity capital necessary to acquire, construct and develop assets in single-asset, multi-asset and “evergreen” or open-ended transactions. A large part of my practice in this area revolves around appropriately structuring these transactions so that the client is able to take advantage of tax and other client-favorable incentives, including 721, 1031 and other like-kind exchanges; real estate investment trusts (REITs), Delaware Statutory Trusts (DSTs) and other tax-advantaged investment vehicles; and federal Opportunity Zone tax credits.
I regularly serve in an outside general counsel-like role for both private and public company clients, assisting in a variety of internal corporate, governance and other related matters, including reorganizations and/or recapitalizations, drafting governing documents, entity formation and dissolution, providing guidance on commercial agreements, awarding equity compensation to employees, hiring of independent contractors and related general corporate issues.
I also have extensive experience working with some of the largest craft breweries in the Midwest, assisting with the sale of their beer distribution rights into nearly 40 states. Additionally, I have assisted local breweries and other clients in ensuring compliance with the new and continuously-changing local, state and federal regulatory regimes for the manufacture, sale and distribution of recreational hemp and cannabis-derived products.
