My Approach
I represent investors, syndicators, sponsors, and buyers in the development of, and investment in, renewable energy projects focusing on project finance and tax. My work spans technologies such as utility-scale solar and energy storage, distributed generation solar farms, renewable natural gas, EV infrastructure, combined heat and power, wind, and advanced manufacturing. On these transactions, I work with clients to be an extension of their team and find avenues forward in the transaction that they might not have otherwise found. The renewable energy market is a rapidly growing sector where you see repeat players, including sponsors, attorneys, lenders, and capital providers, and I aim to participate in deals where the parties are ready to do business together again. The space is not “win or lose,” and I work to ensure every side leaves feeling that they’ve made a good deal.
Outside of my professional career, I enjoy spending time with my family, traveling, and doing anything active – playing tennis, biking, hiking, and surfing.
Practice Areas
Practicing Tax Credit Financing & Syndication
My Experience
My practice focuses on advising clients on the optimal structuring of renewable energy transactions, with tailored guidance on tax equity, tax credit transfers, and sponsor equity arrangements. I lead the drafting and negotiation of key transaction documents, including tax partnership agreements, membership interest purchase agreements, sponsor guaranties, and intercreditor agreements. My approach to project underwriting is customized for each transaction, with flexibility based on transaction size to ensure adaptability throughout the process. My goal is to ensure that each transaction is well-structured, legally compliant, and was executed through collaboration among all stakeholders.
