In complex tax credit transactions, just going through the motions is not going to cut it. Every new transaction, even with repeat players, differs from prior transactions — whether it be a new counterparty, a complex financing source, or a technical tax issue associated with the project. I’m here to help my clients navigate these hurdles smoothly and successfully close projects that are beneficial to the communities they serve. Collaborating with my clients on these projects and helping them achieve their goals is my favorite part of the job.
I represent investors, tax credit syndicators, developers, and bridge lenders on Federal and State Historic Rehabilitation Tax Credit (HTC) transactions, often including master lease, single-tier, and certificated transaction structures. My role involves drafting, reviewing, and negotiating equity, debt, and ancillary documents, as well as reviewing complex due diligence and corresponding with transaction parties. I have represented investors and tax credit syndicators in HTC projects in 15 states (with a focus on projects in North Carolina, Virginia, Ohio, Texas, Missouri, Minnesota, and Indiana), generating HTCs in excess of $200 million.
Additionally, I have experience representing developers on Low-Income Housing Tax Credit projects (LIHTC) and tax credit investors on Federal Investment Tax Credits (e.g. ITC/solar energy credits).
Outside of work, I enjoy spending time with my wife and daughter, relaxing at our family lake house, working on my golf game, and watching Iowa Hawkeye football.
I represent investors, developers, and lenders in structuring and obtaining tax credits and incentives for their projects, and I strive to ensure their goals are accomplished in a timely manner. I have experience drafting, reviewing, and negotiating partnership agreements, operating agreements, leases, loan documents, subordination, non-disturbance, and attornment agreements (SNDAs), and more. Prior to joining the firm, I was a Senior Tax Consultant with a Big Four accounting firm, where I consulted on various restructurings, reorganizations, and other tax planning projects for corporate and flow-through entities.
