Winthrop & Weinstine, P.A., is pleased to formally announce that Samantha Heaton, Ian Rubenstrunk and Quin Seiler have been promoted to shareholders, and Raha Assadi-Lamouki, Catherine Cumming, Amber Kraemer, Kyle Kroll, Neil Mahoney and Joshua Noah have been promoted to Managing Associates.

Samantha Heaton represents clients in connection with preparing comprehensive estate and gift plans that are implemented through wills, trust agreements and related documents. She represents high-net worth individuals and families of all types in charitable gift planning, tax planning, and probate, trust and estate administration, and also works with private foundations and other non-profit organizations in entity formation, obtaining tax-exempt status, and various governance and compliance matters.  Samantha crafts estate plans that are tailored to the needs of clients, working to understand their family dynamics and circumstances well.

Ian Rubenstrunk‘s experience in the Creditors’ Remedies and Bankruptcy group primarily focuses on foreclosures, receiverships, bankruptcies, and litigation involving distressed financial transactions. In the foreclosure space, he has represented banks and other lenders in connection with commercial foreclosures of a variety of property types, both in and out of court. He has been involved in many receivership matters, both on behalf of the lender, as well as serving as counsel to the receiver and assisting the receiver in its duties. In the bankruptcy context, he has represented a wide variety of constituents including landlords, secured lenders, lessors, asset buyers, preference defendants, and unsecured creditors.

Quin Seiler is a commercial litigator who represents financial institutions and other commercial enterprises related to business disputes and generally represents clients in contract disputes and real estate and construction disputes.  One particular focus of her practice is representing real estate developers, including for-profit and non-profit developers, in connection with disputes that arise near the end of the low income housing tax credit year-15 compliance period. With experience beginning before a dispute has arisen through trial, she is able to advise her clients on their year-15 rights and obligations under their partnership agreement and applicable law to best position them for a successful outcome.

Raha Assadi-Lamouki represents banking and other financial institutions in a range of matters covering all aspects of the lending process, including traditional secured and unsecured revolving credit and term loans, syndicated loans, construction and real estate financing, and transactions involving new markets tax credits. She helps clients find opportunities that they might not have known existed, and navigate through obscure processes and procedures. In addition to her work at the firm, Raha serves on the board of Still Kickin, a non-profit that helps awesome people through awful things, and serves on the Young Professionals Board of the Leukemia and Lymphoma Society.

Catherine “Katie” Cumming works with real estate finance and development clients in all facets of commercial real estate finance and development. Katie focuses on the development of affordable housing and specializes in structured financing utilizing low-income housing tax credits, tax-exempt bonds, and agency debt. Katie works through the various stages of a transaction to ensure her clients’ goals and timelines are achieved. In addition to real estate development and finance, she represents non-profit and tax exempt clients with their creation, ongoing operations, corporate structure, governance, fiduciary duties, conflicts of interests, and compliance with the Internal Revenue Code. Katie volunteers with numerous non-profit organizations, and serves on the board of Habitat for Humanity Minnesota.

Amber Kraemer represents community and regional banks on a wide range of corporate and banking matters, including mergers and acquisitions, capital planning and issuance, compliance and regulatory issues, corporate governance,  and third-party vendor negotiations agreements. She also represents companies on similar issues including mergers and acquisitions, reorganizations, business formation, contracts and corporate governance.

Kyle Kroll focuses his litigation practice on representing clients in business matters, especially in banking, food and beverage, manufacturing, insurance, technology, and energy sectors. He has experience in navigating complex cases involving trade practices, fraud, false advertising, class actions, intellectual property, utilities, and more—in both trials and appeals. Prior to joining Winthrop & Weinstine, he clerked for The Honorable Joan N. Ericksen in the U.S. District Court for the District of Minnesota. Kyle is very active in the local and national legal community, and serves on numerous boards and committees of the Minnesota State Bar Association, Federal Bar Association, American Bar Association, and more.

Cornelius “Neil” Mahoney has substantial experience in multifamily housing financing and development with a strong focus on the utilization of tax credits, federal agency financing, and senior housing development. He also handles general real estate matters, debt financing, tax credit syndication, and the refinancing and sale of mature multifamily housing projects. A majority of his recent transactions are located in Colorado, Texas, and Florida, but he has worked on developments across the country. He is licensed to practice law in Minnesota and Florida.

Joshua Noah represents real estate developers, lenders and investors in connection with affordable housing, historic, wind, and solar developments. His work focuses on leveraging state and federal tax credits, private activity bonds and other federal and state governmental programs to finance the new construction or substantial rehabilitation of a variety of developments for local governmental agencies, nonprofits and for-profit developers. In addition to providing counsel on tax credit finance related matters, he also provides counsel on how to pursue tax efficient transactions and organizations for real estate developers, exit or “Year 15” strategies for existing tax credit partnerships, leverage various forms of property tax exemptions, as well as general real estate matters with a specific perspective of how to facilitate future tax credit transactions.
