Experience
Evan C. Sheets is an associate in Winthrop & Weinstine’s securities and corporate finance practice group. He advises public and private businesses in a variety of industries regarding general corporate and securities matters, including corporate governance, debt and equity financing, and securities law compliance. He also represents clients in a wide range of corporate transactions, with an emphasis on venture capital and growth equity financings, mergers and acquisitions, and the general representation of both established and emerging growth companies. Evan routinely advises on the formation, structuring and operation of investment funds, including private equity funds, hedge funds and real estate funds, as well as real estate investment trusts and Delaware statutory trusts.  His experience also includes corporate, limited partnership and limited liability company formation and structuring.

Evan’s practice centers on counseling entrepreneurs, start-ups and other emerging growth companies in connection with a wide range of corporate and securities matters, including capital-raising and finance, entity selection, formation and structuring, federal and state “blue sky” securities compliance, mergers and acquisitions, real estate, and tax.

Evan has a strong background in the securities and capital markets arenas. Prior to joining Winthrop & Weinstine, Evan worked in the Division of Corporation Finance of the U.S. Securities and Exchange Commission. At the SEC, he researched issues and wrote legal memoranda regarding private placements and other exempt securities offerings; counseled start-up and other emerging growth companies and their founders in connection with seed capital and growth equity financing; and assisted SEC attorneys in drafting securities regulations. Evan also interned at the Financial Industry Regulatory Authority in the Department of Enforcement, where he worked on enforcement actions relating to wash trading, anti-money laundering and conflicts of interests between financial advisors and underwriters; and interned with the Honorable Robert M. Dow, Jr. of the U.S. District Court for the Northern District of Illinois.
