Brian Kensicki is a shareholder at Winthrop & Weinstine, P.A., and for more than a decade has devoted his practice to the areas of corporate law and mergers and acquisitions.  His practice is focused on representing public companies and closely-held businesses in connection with stock and asset acquisitions and divestitures, mergers, recapitalizations, joint ventures, capital formation transactions and other equity investments.  In addition to his work in the area of mergers and acquisitions, Mr. Kensicki provides general corporate counsel to a number of companies in a variety of industries.

Brian prides himself on providing cost-efficient and practical solutions to his clients.  In order to provide a high level of legal services, he believes it is essential to thoroughly understand the businesses of his clients.  Taking into account client preferences, Brian regularly schedules meetings or lunches with his clients where the only topic of discussion is the client’s business and business needs.  This unique approach to client service has helped separate him from his peers in the legal community.

Brian's work in the area of mergers and acquisitions has earned him recognition as a “Rising Star” by Minnesota Law & Politics.

  • Represented Fortune 500 public company on multiple occasions in connection with its acquisition of certain intellectual property rights.
  • Represented closely-held recycler of bakery and food byproducts in connection with the sale of all of its capital stock to a public company.
  • Represented North American operations of international wind farm developer in connection with its acquisition of a mid-stage development project in the State of Minnesota.
  • Represented leading manufacturer of tooling systems in connection with its acquisition of a Canada-based corporation.
  • Represented leading provider of late stage receivables management in connection with the sale of all of its capital stock to a private equity fund.
  • Represented closely-held provider of laminate flooring products in connection with the sale of all of its membership interests to a private equity fund.
  • Represented leading provider of dry based and liquid egg products in connection with the divestiture of a portion of its business operations.
  • Represented leading provider of elevator maintenance services in connection with the sale of all of its assets to a global leader in the elevator industry.
